1. Agreement to Terms

By using BatchSVG2Code (the "Service"), operated by AVAD Technologies LLC ("we," "us," "our"), you agree to these Terms. You must have the legal capacity to enter into this agreement.

3. Service Overview & Plans

Freemium Plan

• Up to 1 SVG→code conversion per UTC day (resets at 00:00 UTC).
• No batch processing or advanced optimizations.
• Data Access: No access to conversion history; files remain on our servers until you delete your account (you cannot delete individual files).

Premium Plan

• Billed monthly via Stripe; renews automatically unless canceled at least 24 hours before renewal.
• Unlimited conversions, batch uploads, security sanitization, custom naming, history access, ad-free.
• No Refunds: All purchases are final except as required by applicable law.
• Deleted Accounts: Upon deletion, files are permanently removed within 30 days; backup copies may remain up to 30 days.

4. Changes to the Service

We may modify, suspend, or discontinue any aspect of the Service at any time. If we make a material change to core functionality (e.g., pricing or feature removal), we will notify Premium subscribers at least 30 days in advance. For non-material changes, we will provide at least 7 days notice or post changes immediately for minor updates. We are not liable for damages caused by these changes, except as required by law.

5. Data Protection & Privacy

Our collection and processing of personal data is governed by our Privacy Policy at https://batchsvg2code.com/privacy. For users in the EU/UK, you have rights under GDPR including access, rectification, erasure, and data portability. Contact legal@batchsvg2code.com to exercise these rights.

All notices under these Terms to us must be sent to:

7. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations (e.g., in a merger or acquisition).

8. Severability & Waiver

If any part of these Terms is invalid or unenforceable, the rest remain in effect. Our failure to enforce any right does not waive that right.

9. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, war, cyber-attacks, or Internet outages), provided we have taken reasonable measures to prevent such events.

10. Account Registration & Security

• You must register with a valid email address and password.
• You are responsible for all activity on your account.
• If you suspect unauthorized use, notify us immediately at support@batchsvg2code.com.
• Do not share your account credentials with anyone else.

11. User Content & License Grant

• Ownership: You retain all rights to your SVGs and generated code.
• License to Us: You grant AVAD Technologies LLC a worldwide, royalty-free license to store and process your files solely to deliver the Service. We will not share your files with third parties, except our service providers (e.g., Stripe, Supabase), and only to the extent necessary. This license ends when you delete the content or your account.

12. Data Retention & Deletion

• Active Storage: We keep your files until you delete them or close your account.
• Deletion Process: If you request deletion, we will permanently remove your content within 30 days; backup copies may remain for an additional 30 days.
• Company Closure: If AVAD ceases operations, we will delete all user data within 30 days of closure.

13. Fees, Billing & Payment

• Premium subscriptions are billed monthly via Stripe and automatically renew on your billing date.
• To avoid being charged for the next period, cancel at least 24 hours before renewal.
• No refunds except as required by applicable consumer-protection laws.
• Stripe Processing: All payments are processed by Stripe, Inc. Your use of Stripe's services is governed by Stripe's Terms and Privacy Policy.

14. Billing Disputes

To dispute a charge, email us at legal@batchsvg2code.com within 30 days of the billing date. Include your account email, invoice number, and a brief explanation. We'll investigate and respond promptly.

15. Acceptable Use & Prohibited Activities

1. Upload or convert any illegal, infringing, defamatory, obscene, pornographic, hateful, or violent content.
2. Distribute malware, viruses, or malicious code.
3. Circumvent usage limits or security features.
4. Reverse-engineer, decompile, or extract source code.
5. Impersonate others or misrepresent any affiliation.
6. Violate export-control laws or sanctions (this does not apply to standard SVG-to-code conversion).
7. Share your account credentials with anyone else.

16. DMCA / Copyright Policy

We comply with the Digital Millennium Copyright Act. To submit a takedown notice, email legal@batchsvg2code.com with:

• Your contact information
• Description of the copyrighted work
• URL or location of the infringing material
• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
• Your electronic signature (typing your full name constitutes a valid electronic signature)

If we remove content, the uploader may send a counter-notice under DMCA guidelines to request reinstatement.

17. Third-Party Content & Links

• External Links & Integrations: Third-party services (e.g., Supabase, Stripe, Google Analytics) are governed by their own terms and privacy policies. We make no promises about their availability or content.

18. Support & Service Levels

For support, email support@batchsvg2code.com. We aim to respond within 5 business days but do not guarantee any specific response time, service level, or uptime.

19. Termination

We may suspend or terminate your account if you violate these Terms or for prolonged inactivity (no login for 3 months for free accounts, 12 months for Premium accounts). If possible, we will notify you by email and give you 7 days to cure any violation. Upon termination, your files will be deleted according to our Data Retention Policy.

We do not offer refunds for terminated accounts except as required by law.

20. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, INTERRUPTION-FREE, OR THAT THE OUTPUT WILL MEET YOUR EXPECTATIONS.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE TOTAL AMOUNT OF FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR SPECIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

22. Indemnification

You agree to indemnify and hold harmless AVAD Technologies LLC, its affiliates, and their officers, directors, and employees from any claims, liabilities, losses, or expenses arising from your content or violation of these Terms.

23. Entire Agreement

These Terms (and any documents they reference) form the entire agreement between you and AVAD Technologies LLC regarding the Service, superseding all prior agreements.

24. Governing Law & Venue

These Terms are governed by the laws of the State of Texas. Any dispute will be resolved exclusively in the state or federal courts of Travis County, Texas.

25. Changes to Terms

We may revise these Terms. If we make a material change (e.g., price increase, removal of key features, or changes to refund policy), we will email Premium subscribers at least 30 days before it takes effect. For non-material edits (typos or clarifications), we will post the updated Terms here immediately. Your continued use of the Service after a material change constitutes acceptance.
